Mgr. Corporate Governance and Executive Affairs AW

General Purpose:

This role provides operational and administrative support to the Supervisory Board, Management Board, and Management Team to ensure effective corporate governance, corporate administration, regulatory compliance, and adherence to legal obligations. This role will coordinate the functions of the Executive Office, ensuring efficient support for the Management Board and Senior Leadership Team.

 

Position Highlights:

  • Provide support for effective corporate governance and executive administration, ensuring all necessary documentation is prepared and maintained.
  • Coordinate, prepare, and distribute materials, agendas, notifications, and minutes for Supervisory Board, Management Board, and committee meetings, ensuring logistical efficiency.
  • Maintain and oversee governance rulebooks and charters for boards and committees to ensure clear operational guidelines and compliance.
  • Ensure accurate recording and documentation of meeting minutes, action items, and company records for legal compliance, transparency, and easy retrieval.
  • Coordinate the day-to-day operations of the Executive Office to ensure effective support for the Management Board and Management Team
  • Assist in the process for the compliant appointment of new Supervisory and Management Board members, including preparing necessary documentation for regulatory submissions.Oversee and maintain  the AB proxy system and Internal Authorization Table.
  • Foster professional development and enhance performance of departmental staff through direct guidance, coaching, and advice.
  • Develop and lead the team's operational plan, budget, and performance goals, ensuring alignment with departmental objectives.
  • Identify opportunities for continuous improvement in operational efficiency within the department's scope, proposing solutions for known issues.

Requirements:

  • Bachelor's degree in finance, business administration, law, or a related field.
  • Minimum of 5-7 years of relevant experience in corporate governance, executive support, or compliance within the banking or financial services sector.
  • Proven experience in operational roles related to corporate governance, with a solid understanding of established best practices and regulatory requirements.
  • Demonstrated experience in administrative coordination for board meetings, preparing agendas, and maintaining corporate records.
  • Experience in leading and coaching small teams or projects (e.g., up to 5 professionals/specialists, or managing a team of 10-15 operational staff).
  • Knowledge and comprehension of relevant laws and supervisory regulations pertaining to corporate governance is a plus.
  • Excellent written and verbal communication skills in English, Dutch, Spanish, and Papiamento, capable of managing relations with multiple stakeholders on an operational/tactical level.
  • Proficient in office productivity software and familiar with relevant tools for executive support and governance management.
  • Ability to work independently with minimal supervision.
  • Strong capacity to bridge gaps and foster collaboration across various leadership levels
