Senior Associate, Subsidiary Governance TT

What is the opportunity?

In this role you will support the Subsidiary Governance Officer, Caribbean in all aspects of subsidiary activity and in the development and implementation of policies and procedures relating to the corporate governance of designated RBC subsidiaries in the Caribbean. 

What will you do?

  • Support board activities for designated subsidiaries including planning and preparation of board and committee meetings, preparation of resolutions, and maintaining the corporate minute books.
  • Responsible for the preparation and filing of regulatory filings and annual returns for designated subsidiaries.
  • Responsible for managing the records and data integrity of all information pertaining to RBC Caribbean subsidiaries, including data input into GEMs.
  • Act as Corporate Secretary/Assistant Corporate Secretary for designated subsidiaries and high-level board and governance committees.
  • Provide advice and support to the officers and Directors of designated subsidiaries on governance issues.
  • Responsible for administrative requirements in relation to the appointment and resignation of directors including the preparation of required approval applications and applications for indemnity for directors and officers of designated subsidiaries.
  • Provide advice and guidance to all subsidiaries, responding to enquiries and sourcing solutions to issues on board protocols, board and committee meetings, directorships, minute taking, preparation of documentation and other matters pertaining to board activities and corporate governance generally, including incorporations and dissolutions.
  • Provide support to the Senior Counsel, Subsidiary Governance Office Caribbean, as required.
  • Review and assess the impact of laws and regulations on RBC subsidiaries within the Caribbean from a corporate governance perspective and provide advice and guidance to the legal entities to ensure compliance.
  • This role interfaces with Executive Management and the Head of Business segments within the Organization.
  • Act as project manager of team projects, as required.

What do you need to succeed?

Must-have

  • Professional corporate secretarial designation or equivalent experience in a corporate secretarial environment or equivalent college designation in legal technical studies/paralegal qualification. 
  • Knowledge of regulatory requirements as they relate to the boards of regulated designated subsidiaries and their corporate status, including familiarity with legislation and filing requirements.
  • Self-sufficient and ability to hit the ground running.
  • Excellent communication skills, written and oral.
  • Highly organised, ability to prioritise and manage multiple tasks.
  • Sound computer skills, ability to adapt and apply new technologies.
  • Attention to detail and accuracy.
